Term & Condition

These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and tagowls Digital LLP ("tagowls", "we", "us", "our"), governing your use of tagowls.com and all associated services ("Platform"). By accessing or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must immediately discontinue use of the Platform.

tagowls reserves the right to modify these Terms at any time. Updated Terms will be posted on tagowls.com with the revised date. Your continued use of the Platform after any modification constitutes your acceptance of the updated Terms.

• You must be at least 18 years of age to register and use tagowls.
• You have the legal capacity to enter into a binding agreement under applicable Indian law.
• All registration information you provide is accurate, complete, and current.
• You will maintain the accuracy of your information and update it promptly if it changes.
• tagowls reserves the right to terminate accounts of users found to be minors or who have provided false registration information.

3.1 Registration & Eligibility

• Creators must have a minimum of 1,000 authentic Instagram followers to register.

• Your Instagram account must be at least 6 months old at the time of registration.

• Your account must have a minimum audience authenticity score of 60% as determined by our Creator Score algorithm.

• You must connect your Instagram account via OAuth during registration.

• tagowls reserves the right to approve or reject any creator application at its sole discretion.

3.2 Creator Score

Your Creator Score is calculated by tagowls' proprietary algorithm using your publicly available Instagram metrics including audience authenticity, views-to-followers ratio, engagement quality, posting consistency, and content niche. The Creator Score determines your cashback eligibility tier. tagowls reserves the right to update the scoring methodology at any time. The algorithm details are confidential.

3.3 Cashback Terms

• Creators must purchase the product themselves on tagowls to be eligible for cashback.

• Cashback percentage is determined by your Creator Score at the time of purchase.

• Cashback is released in milestones: 50% upon confirmed product delivery, 30% upon verified post publication, 20% upon post reaching the minimum views threshold for your tier.

• Full cashback is credited to your tagowls wallet within 15-20 days of posting, subject to milestone verification.

• Withdrawal to your UPI/bank account is processed within 48 hours of request. Minimum withdrawal amount is Rs. 100.

• Cashback is non-transferable and has no cash equivalent outside the tagowls platform except via UPI withdrawal.

3.4 Content & Promotion Obligations

• You must publish your promotional post (reel, story, or static post) within 30 days of product delivery.

• Published content must remain live and publicly accessible for a minimum of 90 days from the date of posting.

• Content must clearly mention tagowls and include your unique referral link or code as instructed.

• Content must comply with the Advertising Standards Council of India (ASCI) guidelines, including mandatory disclosure of paid partnerships or sponsored content.

• tagowls reserves the right to verify posted content and reject content that does not meet platform standards.

3.5 Referral Commission

• Creators earn a referral commission of 5-10% on every confirmed sale made through their unique referral link.

• Commission rates are determined by tagowls and may vary by product category and brand.

• Commissions are credited monthly to your tagowls wallet for all confirmed sales in the preceding month.

• Self-referral, fraudulent orders, or any attempt to artificially inflate commission earnings will result in immediate account suspension and forfeiture of all earned commissions.

3.6 Prohibited Conduct for Creators

• Using fake followers, bots, purchased engagement, or any artificial means to inflate your Creator Score is strictly prohibited and will result in permanent account ban.

• Returning products after receiving cashback, or any attempt to fraudulently obtain cashback without genuine promotion, is prohibited.

• Posting misleading, defamatory, obscene, or harmful content about any product, brand, or individual is prohibited.

• Sharing referral codes or links with the intent to generate fraudulent sales is prohibited.

4.1 Registration & Onboarding

• Brands must complete the tagowls inquiry form and verification process before listing products.

• tagowls reserves the right to approve or reject any brand application at its sole discretion.

• Upon approval, brands receive a registration link to set up their brand dashboard and product store.

• Brands must provide accurate business details, GSTIN (where applicable), and valid bank account information.

4.2 Product Listings

• All products listed on tagowls must be genuine, legally sold, and accurately described.

• Product images, pricing, descriptions, and specifications must be accurate and up-to-date.

• tagowls reserves the right to remove any product listing that violates platform standards, is misleading, or is illegal.

• Brands are solely responsible for product quality, accurate description, and delivery fulfillment.

4.3 Escrow System

• Before any product goes live on tagowls, brands must deposit a cashback budget into the tagowls escrow account.

• Escrow funds are held securely by tagowls and released to creators only upon verified milestone completion.

• If a creator fails to meet performance milestones within the agreed timeframe, the corresponding escrow amount is refunded to the brand.

• Brands may set a maximum cashback cap per product, which overrides the creator's score-based calculation if lower.

4.4 Platform Fees

• tagowls charges a platform commission of 25-30% on the confirmed sale price of each order.

• A flat closing fee of Rs. 20-30 per confirmed order is charged in addition to the commission.

• tagowls reserves the right to revise its fee structure with 30 days' prior notice to registered brands.

• All fees are exclusive of applicable GST, which will be charged as per prevailing rates.

4.5 Brand Obligations

• Brands must ship products to creators and customers within the committed timeline stated in the listing.

• Brands must honor their own return and refund policy as stated in their product listings.

• Brands may not contact creators directly outside the tagowls platform for deals or arrangements that bypass the escrow system.

• Brands must not use creator personal contact details (obtained via tagowls) for any purpose other than order fulfillment.

• Normal users may browse, search, and purchase products on tagowls without creator registration.
• Users earn 5-10% cashback on orders placed using a valid creator referral code at checkout.
• User cashback is funded from tagowls' platform commission and is credited to the user's tagowls wallet after confirmed delivery.
• Minimum withdrawal amount is Rs. 100. Withdrawals are processed to UPI within 48 hours.
• Cashback is non-transferable and expires if the user account is closed.
• Users may convert their account to a creator account from their profile settings, subject to eligibility criteria.

All payments on tagowls are processed via Razorpay, a licensed payment aggregator regulated by the Reserve Bank of India. tagowls does not store any payment card data on its servers. By making a purchase, you agree to Razorpay's Terms of Service and Privacy Policy.

All prices on tagowls are in Indian Rupees (INR) and are inclusive of GST unless stated otherwise. tagowls reserves the right to modify pricing at any time with reasonable notice.

Return and refund policies are set by individual brands and displayed on each product listing. tagowls is not liable for product quality disputes between users and brands. In the event of a return:

• Any cashback credited for the returned order will be automatically reversed from the user's or creator's wallet.

• The escrow amount corresponding to the returned order will be refunded to the brand.

• Creator commission earned from a sale that is subsequently returned will be reversed.

Users must initiate returns within the timeframe specified in the brand's return policy. tagowls may facilitate communication between users and brands but is not responsible for resolving product disputes.

tagowls, the tagowls logo, platform design, Creator Score algorithm, and all associated technology are the exclusive intellectual property of tagowls Digital LLP and are protected under Indian copyright, trademark, and intellectual property laws.

Creators retain full ownership of the content they create. By posting content on tagowls, creators grant tagowls a non-exclusive, royalty-free, worldwide license to use, display, and promote that content on the tagowls platform and official tagowls social media channels, with credit to the creator. This license does not authorise tagowls to sell creator content to third parties.

Brands retain ownership of their product images, brand assets, and listing content. By listing on tagowls, brands grant tagowls permission to display their products and brand assets on the platform.

• Creating fake accounts or using bots, scripts, or automated tools to interact with the platform.
• Artificially inflating follower counts, views, likes, or engagement to manipulate Creator Score.
• Self-referral or coordinating with others to generate fraudulent sales or cashback.
• Listing counterfeit, unsafe, illegal, or misrepresented products.
• Attempting to reverse-engineer, decompile, or circumvent platform security or the Creator Score algorithm.
• Using data obtained from tagowls to contact users, creators, or brands outside the platform for commercial purposes.
• Posting content that is defamatory, obscene, hateful, or violates any applicable Indian law.
• Impersonating any person, brand, or organisation on the platform.
• Facilitating off-platform brand-creator deals that bypass tagowls' escrow system.

tagowls reserves the right, at its sole discretion, to:

• Monitor the platform for violations of these Terms.

• Remove any product listing, creator profile, or user-generated content that violates these Terms.

• Suspend or permanently ban any account involved in fraudulent, abusive, or prohibited activity.

• Modify, suspend, or discontinue any feature of the platform at any time with or without notice.

tagowls is not obligated to review all content on the platform but reserves the right to act on reported violations.

tagowls operates as a marketplace platform facilitating connections between brands, creators, and users. tagowls is not a manufacturer, retailer, or seller of any product listed on the platform.

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE INDIAN LAW, TAGOWLS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

tagowls shall not be liable for: (a) the quality, safety, legality, or delivery of any product listed by brands; (b) the accuracy of creator content or promotional claims; (c) any loss of earnings, data, or profits arising from platform unavailability; (d) any indirect, incidental, or consequential damages arising from use of the platform.

tagowls' total liability to any user for any claim shall not exceed the total fees paid by that user to tagowls in the 3 months preceding the claim.

You agree to indemnify, defend, and hold harmless tagowls Digital LLP and its directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including legal fees) arising from: (a) your use of the platform; (b) your violation of these Terms; (c) your violation of any applicable law or third-party rights; or (d) any content you post, upload, or transmit on the platform.

tagowls reserves the right to suspend or permanently terminate any account for violation of these Terms, fraudulent activity, or any reason deemed appropriate at tagowls' sole discretion, with or without prior notice.

Users may close their account at any time by contacting team@tagowls.com. Upon closure, all pending cashback or commission amounts below the minimum withdrawal threshold will be forfeited. Any amounts above the minimum threshold will be paid out within 7 business days.

Terminated accounts may not re-register on tagowls using the same or different details without tagowls' prior written consent.

All users, creators, and brands are solely responsible for their own tax obligations arising from transactions on tagowls. Creators earning commissions or cashback may be subject to income tax under applicable Indian tax laws. Brands are responsible for GST compliance on their sales. tagowls does not provide tax advice. We recommend consulting a qualified tax professional for guidance specific to your situation.

tagowls will issue TDS certificates where required under Indian income tax law for payments made to creators and affiliates.

These Terms are governed by and construed in accordance with the laws of India, including the Information Technology Act, 2000, the Consumer Protection Act, 2019, and the Indian Contract Act, 1872.

In the event of any dispute arising from or in connection with these Terms, the parties agree to first attempt to resolve the matter amicably through informal negotiation for a period of 30 days. If the dispute remains unresolved, it shall be referred to arbitration under the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Jalgaon, Maharashtra, India.

Subject to the arbitration clause above, the courts of Jalgaon, Maharashtra shall have exclusive jurisdiction over any legal proceedings arising from these Terms.

tagowls reserves the right to modify, suspend, or discontinue any aspect of the platform at any time without prior notice. tagowls does not guarantee uninterrupted or error-free platform availability. Scheduled maintenance, technical issues, or circumstances beyond our control may cause temporary unavailability.

• If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
• tagowls' failure to enforce any right under these Terms shall not constitute a waiver of that right.
• These Terms, together with our Privacy Policy, constitute the entire agreement between you and tagowls regarding use of the platform.
• These Terms may not be assigned by you without tagowls' prior written consent. tagowls may assign these Terms in connection with a merger, acquisition, or sale of the business.
